These Terms of Service ("Terms") are a binding legal agreement between Parkberry Marketing Services - FZCO, a Free Zone Company licensed by the Dubai Integrated Economic Zones Authority under License No. 84161, with its registered office at IFZA Business Park, DDP, PO Box 342001, Dubai, United Arab Emirates ("Parkberry," "we," "us," or "our"), and you, the individual or entity using our Services ("you," "Client," or "your"). By purchasing, accessing, or using any of our Services, or by checking the agreement box at checkout, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
Important: Section 22 explains how disputes are resolved, including a requirement to attempt informal resolution and, where informal resolution fails, the option to refer the dispute to the Dubai Courts or, if the parties agree, to arbitration administered by the Dubai International Arbitration Centre (DIAC). Please read it carefully.
1. Definitions
- Account — your registered Parkberry user account on the Platform.
- Client Content — text, images, logos, business information, customer lists, leads, and any other materials you upload to or create within the Services.
- Platform — the GoHighLevel-based software environment we provide and configure for you, including the AI Studio website builder, CRM, and automation tools.
- Subscription — your recurring payment arrangement for the Services.
2. Eligibility and Account
You must be at least 18 years old, legally able to enter into a binding contract, and acting on behalf of a lawful business to use the Services. You agree to provide accurate information when registering and to keep your Account information current. You are responsible for all activity under your Account, including activity by your employees, contractors, and any other authorized users.
3. Services
We provide marketing technology, websites, automation, and related services to businesses operating in the UAE. The exact features available to you depend on your Subscription plan. We may add, modify, or discontinue features from time to time. We will not materially reduce the core functionality of your Subscription without notice.
4. Subscription Plans and Pricing
We currently offer the following plans:
- Business Basic — AED 798/month. A one-page conversion-focused website with a Google-visible structure, mobile-first design, and AI-answer friendly markup, live within 24 hours of approval. Includes website chat that creates WhatsApp conversations with instant confirmations sent to your leads on autopilot, quote forms with automated WhatsApp confirmations sent to both you and your customer, hyperlinked phone numbers, and a website fully optimized to create direct conversations, everything sent to you instantly, never by email.
- Business Advanced — AED 1,098/month. All features of the Business Basic plan, plus a full High Converting Website (10-20 pages), Automated Lead Follow Up, Instant Missed Call Reply, a 5-Star Review System, Click-and-Go Marketing Campaigns, and On-Site SEO.
- Business Elite — AED 2,898/month. All features of the Business Advanced plan, plus Google Business Optimization, Advanced SEO & AI Search, and Google & Meta Paid Ads management.
Subscriptions are available month to month or as a prepaid 3 month commitment. The 3 month commitment includes a complimentary Google Business Profile (GBP) optimization (valued at AED 1,469), provided as a one time service at the start of the term.
Pricing is subject to change. We will give you at least 30 days' notice of any price increase, which will take effect at the start of your next billing cycle.
5. Billing and Payment
- Advance billing. All Subscription fees are billed in advance of the service period.
- Auto-renewal. Your Subscription will automatically renew at the then-current rate at the end of each billing cycle until you cancel.
- Payment method. Payments are processed through Stripe. By providing a payment method, you authorize us to charge it for all amounts due, including Subscription fees, add-on charges, and applicable taxes.
- Taxes. All fees are exclusive of UAE Value Added Tax (VAT) and any other applicable taxes, unless we state otherwise in writing. VAT will be added at the prevailing rate where required by UAE law.
6. Additional Services and Pass-Through Costs
Certain add-ons, such as additional phone numbers, SMS credits, paid advertising spend, or third-party integrations, may carry additional costs beyond your Subscription fee. Where applicable, we will disclose these costs to you in writing before they are incurred. You are responsible for monitoring any usage-based add-ons you activate.
7. Refunds and Cancellation of Payment
Fees paid for Services already delivered or in progress are generally non-refundable, because our Services involve custom, immediately-commenced work (website build, account setup, and campaign configuration) upon payment. However, nothing in these Terms limits any right you may have under UAE Federal Decree-Law No. 15 of 2020 on Consumer Protection or its Executive Regulations to a refund, replacement, or repair where Services are not delivered as agreed, are defective, or are misrepresented. Any request to withhold a refund on grounds other than those Services having already been rendered will be assessed against, and documented with reference to, the applicable legal basis.
8. Payment Disputes and Chargebacks
If you believe you have been billed in error, you agree to contact us first at bp@parkberrygroup.com so we can investigate and resolve the issue directly. Initiating a chargeback without first raising the issue with us may be treated as a breach of these Terms. We reserve the right to submit evidence of contract acceptance, Platform usage, and delivery documentation to your card issuer or bank, and to suspend or terminate your Account while a dispute is under review. This section does not limit any right you have under UAE consumer protection law to dispute a charge through your bank.
9. Promotions
We may offer discounts or promotional pricing from time to time. Promotional pricing applies for the period stated and reverts to standard pricing thereafter. Promotions do not modify any other term of this agreement unless we state so in writing.
10. Service Delivery
Services are considered delivered once your website has been completed and made available, and Platform and automation setup is finalized. Standard build time is 7 to 10 business days following receipt of your completed onboarding information. Login assistance and onboarding support may be provided but are not a prerequisite for fulfillment.
11. Payment Failures and Suspension
If a payment fails, we will attempt to notify you and retry payment. If the balance remains unpaid 7 days after the first failed attempt, your Account and Platform access may be suspended until the balance is paid. If the balance remains unpaid for 30 days, we may terminate your Account, subject to the data retention terms in Section 17. Suspension does not relieve you of the obligation to pay outstanding fees already due for Services rendered.
12. Cancellation
You may cancel your Subscription at any time by contacting us at bp@parkberrygroup.com. Cancellation becomes effective at the end of the current billing cycle, and you will not be charged thereafter. Early cancellation of a prepaid term does not entitle you to a refund of the prepaid amount, except as required under Section 7.
13. Intellectual Property
13.1 Our IP
The Platform, our software, our website templates, our automations, our marketing materials, our brand, and all underlying technology and intellectual property are owned by Parkberry or our licensors. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Platform and Services solely for your internal business purposes during your Subscription. All rights not expressly granted are reserved.
13.2 Your Content
You retain ownership of your Client Content. You grant us a non-exclusive, worldwide, royalty-free license to host, store, copy, transmit, display, and process Client Content as necessary to provide the Services and as permitted by our Privacy Policy.
13.3 Websites and Domains
Websites we build for you are provided under the license described in Section 13.1 and are hosted on our infrastructure while your Subscription is active. Upon termination of your Subscription, your right to use the website ends, and we are not obligated to transfer the website's source code, theme, or templates to you unless we agree otherwise in writing. You retain ownership of any custom Client Content (text, images, logos) you provided. If you registered your domain through us, ownership of the domain registration transfers to you upon request and payment of any applicable transfer fees.
13.4 Feedback
If you provide us with suggestions, ideas, or feedback, you grant us an unrestricted, perpetual, royalty-free license to use it without obligation to you.
14. Acceptable Use
You agree not to use the Services to:
- Send unsolicited messages, spam, or unlawful communications.
- Send messages without proper consent, or in violation of UAE Federal Decree-Law No. 46 of 2021 on Electronic Transactions and Trust Services or the UAE Telecommunications and Digital Government Regulatory Authority's anti-spam regulations.
- Violate the privacy of any individual or any applicable data protection law, including UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data (PDPL).
- Send messages that are harassing, threatening, defamatory, fraudulent, obscene, or otherwise unlawful.
- Promote illegal activities or industries that are unlicensed or prohibited under UAE law.
- Reverse-engineer, decompile, or attempt to derive source code from the Platform.
- Resell, sublicense, or provide the Services to third parties as a service bureau without our written consent.
- Use the Services to build a competing product.
- Attempt to circumvent any security measures, rate limits, or technical restrictions.
- Upload viruses, malware, or any code intended to damage or disrupt the Services.
We may suspend or terminate Accounts engaged in any prohibited activity.
15. Client Compliance Obligations
15.1 Your Own Communications
When you use the Platform to send messages, calls, or emails to your customers and prospects, you, not Parkberry, are the sender. You are solely responsible for obtaining valid consent from recipients where required, maintaining proof of that consent, honoring opt-out requests promptly, including required disclosures (sender identity, opt-out instructions, business details) in your communications, and complying with all applicable UAE laws governing electronic marketing and telecommunications.
15.2 Personal Data
If you upload personal data about customers or leads to the Platform, you act as the data "controller" and Parkberry acts as the data "processor" under the UAE PDPL. A separate Data Processing Agreement (DPA) governs that relationship and is incorporated into these Terms by reference. By uploading personal data to the Platform, you represent that you have provided all required notices to data subjects, obtained all required consents, and have the legal right to process that data through the Platform.
15.3 Indemnity for Your Communications
You agree to indemnify and hold Parkberry harmless from any claims, fines, penalties, or damages arising from your communications or your processing of personal data, as further described in Section 20.
16. Call Recording
We may record sales, onboarding, and support calls between you and Parkberry for quality assurance, training, recordkeeping, and dispute resolution, consistent with UAE Federal Decree-Law No. 46 of 2021 on Electronic Transactions and Trust Services, under which consent to recording may be inferred from your conduct in continuing the call after being notified. We provide a verbal notice at the start of each call. If you do not wish to be recorded, please tell us at the start of the call. See our Privacy Policy for details.
17. Term and Termination
17.1 Term
These Terms begin when you accept them and continue until your Subscription is terminated.
17.2 Termination by You
You may cancel at any time as described in Section 12.
17.3 Termination by Us
We may suspend or terminate your Account and these Terms, with reasonable notice where practicable, if you breach these Terms, you fail to pay amounts when due, we are required to do so by law, or you engage in conduct that creates legal, regulatory, or reputational risk for us.
17.4 Effect of Termination
Upon termination, your right to access and use the Services ends. We will retain Client Content for 30 days following termination to allow you to export it, after which we may delete or archive it. You are responsible for exporting your data before termination. Provisions intended to survive (intellectual property, indemnification, limitation of liability, dispute resolution, governing law) will continue.
18. Electronic Communications and Consent
By providing your phone number or email address, you consent to receive service-related communications, including notifications, account updates, and, where you have opted in, marketing offers. Message frequency may vary. To opt out of marketing communications, follow the unsubscribe or opt-out instructions included in the message, or contact us at bp@parkberrygroup.com. We do not guarantee that messages will be delivered without delay, as delivery can be affected by factors outside our control such as network issues or device compatibility. Your consent and our processing of communications data are governed by UAE Federal Decree-Law No. 46 of 2021 on Electronic Transactions and Trust Services and our Privacy Policy.
19. Disclaimers
The Services are provided "as is" and "as available." To the maximum extent permitted by UAE law, Parkberry disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure, and we do not guarantee any specific results, including number of leads, sales, revenue, or search rankings. Nothing in this section excludes liability that cannot be excluded under UAE law, including liability for gross negligence, fraud, or intentional misconduct.
20. Indemnification
You agree to defend, indemnify, and hold harmless Parkberry and its officers, employees, contractors, and agents from third-party claims, damages, liabilities, losses, fines, penalties, costs, and expenses (including reasonable legal fees) arising out of or relating to your use of the Services, your Client Content, your communications sent through the Services, your processing of personal data uploaded to the Platform, your violation of these Terms, or your violation of any law or third party's rights. We will promptly notify you of any claim subject to indemnification, and you will have control over the defense and settlement, provided no settlement may be entered without our consent if it requires us to admit fault or pay any amount.
21. Limitation of Liability
To the maximum extent permitted by UAE law, Parkberry will not be liable for indirect, incidental, consequential, special, or punitive damages, or for lost profits, lost revenue, or lost data, even if we have been advised of the possibility of such damages. Our total cumulative liability under these Terms will not exceed the total amount you paid us in the 12 months preceding the event giving rise to the claim. This limitation does not apply to liability arising from gross negligence, fraud, or intentional misconduct, which UAE law, including Articles 290, 296, and 390 of Federal Law No. 5 of 1985 (the UAE Civil Code) and its successor provisions, does not permit parties to exclude or limit.
22. Dispute Resolution and Governing Law
22.1 Informal Resolution
Before initiating any formal proceeding, you and Parkberry agree to first attempt to resolve the dispute informally by emailing bp@parkberrygroup.com with a written description of the dispute. We will attempt to resolve the matter within 30 days.
22.2 Dubai Courts
If informal resolution does not succeed, either party may bring the dispute before the competent courts of Dubai, United Arab Emirates, which will have exclusive jurisdiction, unless the parties separately agree in writing to refer the dispute to arbitration administered by the Dubai International Arbitration Centre (DIAC) under its Arbitration Rules, with the seat of arbitration in Dubai and proceedings conducted in English.
22.3 Governing Law
These Terms are governed by the federal laws of the United Arab Emirates and the laws of the Emirate of Dubai, as applicable.
23. Force Majeure
Neither party will be liable for any failure or delay in performance caused by events beyond its reasonable control, including acts of God, natural disasters, war, government actions, internet or telecommunications failures, third-party platform outages, or labor disputes.
24. Assignment
You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, financing, or sale of all or substantially all of our assets without your consent.
25. Notices
We may provide notices to you by email to the address on your Account or by posting a notice on our website. You may provide notices to us at bp@parkberrygroup.com.
26. Changes to These Terms
We may modify these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice on our website at least 30 days before the changes take effect. Your continued use of the Services after the effective date constitutes your acceptance of the updated Terms.
27. Miscellaneous
- Entire Agreement. These Terms, together with our Privacy Policy and any Data Processing Agreement or order form, are the entire agreement between you and Parkberry and supersede any prior agreements on the same subject.
- Severability. If any provision is found unenforceable under UAE law, the remaining provisions will remain in effect.
- Waiver. Failure to enforce any right or provision is not a waiver of that right or provision.
- No third-party beneficiaries. These Terms do not create any third-party beneficiary rights.
- Independent contractors. The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship.
- Survival. Sections that by their nature should survive termination (including intellectual property, indemnification, limitation of liability, dispute resolution, and governing law) will survive.
- Headings. Section headings are for convenience only and do not affect interpretation.
28. Consent and Agreement
By purchasing any Services from Parkberry or checking the agreement box at checkout, you confirm that you have read, understood, and agree to these Terms of Service and our refund and cancellation terms described in Sections 7 and 12.
